III. Scope and acceptance

V. Prices, currency, and invoicing
Prices are quoted in Mexican pesos (MXN) or US dollars (USD) as stated in each quote. Value Added Tax (IVA, 16% under the VAT Act) is added and shown separately. Electronic invoices (CFDI) are issued under Articles 29 and 29-A of the Federal Tax Code upon request with a valid RFC and tax domicile.
VI. Orders and contract formation
A contract is formed when your purchase order, based on our written quote, is expressly accepted by us, including by electronic means (Article 90 Bis of the Commercial Code). We may verify identity, payment, and stock before acceptance.
VII. Payment
We accept credit and debit cards and SPEI electronic transfers. Orders are processed once payment is confirmed. Late payment charges, if any, apply only as expressly agreed in the quote or contract.
VIII. Delivery
Delivery terms, times, and costs are those stated in the accepted quote. Shipments travel through third-party parcel and freight carriers. Please inspect goods on receipt and report visible damage or shortages in writing without delay.
IX. Changes and cancellation
Standard catalog goods may be cancelled or revoked as provided by the LFPC where applicable, with goods returned intact and in resalable condition. Goods engineered or manufactured to your specifications cannot be cancelled or returned once production has started, except as expressly agreed in writing.
X. Warranties
Manufacturer warranties are passed through to you under their own terms, without prejudice to Articles 77 to 84 of the LFPC. Excluded: normal wear, consumables, misuse, improper installation or operating environment, unauthorized modification, and lack of maintenance per documentation.
XI. Intellectual property
Trademarks, content, software, and documentation are protected under Mexican intellectual property law (Federal Copyright Act; Federal Act for the Protection of Industrial Property; IMPI/INDAUTOR). No license is granted except as stated in our EULA for supplied software.
XII. Liability
To the maximum extent permitted by law, our aggregate liability is limited to direct damages up to the price paid for the affected goods or services. We are not liable for indirect damages or loss of profits arising from improper industrial use.
XIII. Modifications
We may amend these Terms at any time; the version published here applies to new orders. Continued use of the platform constitutes acceptance.
